Terms of Service

1. Agreement to terms

By creating an account or using the Punctulo service, you agree to be bound by these Terms of Service ("Terms"). If you are using Punctulo on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

2. The service

Punctulo provides a cloud-based workforce management platform including employee time tracking, GPS verification, rota management, payroll export, and related features ("the Service"). We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account registration

  • You must provide accurate and complete information when creating your account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorised access to your account.
  • You may not share your account with others or create accounts on behalf of third parties without authorisation.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Transmit viruses, malware, or any other harmful code
  • Scrape, crawl, or extract data from the Service by automated means without our written consent
  • Use the Service to process data of individuals without a lawful basis under UK GDPR
  • Resell or sublicense access to the Service without our written consent

5. Subscription and billing

Paid subscriptions are billed monthly in advance. Your subscription renews automatically unless you cancel before the next billing date. Prices are shown inclusive of VAT where applicable.

We reserve the right to change pricing with 30 days' notice. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

Refunds are not provided for partial months. If you cancel mid-month, your access continues until the end of the paid period.

6. Free tier

The free tier (up to 5 employees) is provided at no charge and is available indefinitely subject to these Terms. We reserve the right to modify the free tier limits with 60 days' notice to existing free-tier users.

7. Data and privacy

Your use of the Service is subject to our Privacy Policy. Where you use Punctulo to process personal data of your employees, you act as the data controller and we act as your data processor. A Data Processing Agreement (DPA) is available on request.

You are responsible for ensuring you have a lawful basis to collect and process your employees' personal data, including GPS location data captured at clock-in.

8. Intellectual property

The Punctulo platform, including its software, design, trademarks, and content, is owned by Unique Treble Ltd and protected by UK and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes.

You retain ownership of all data you input into the Service. You grant us a limited licence to process that data solely to provide the Service.

9. Limitation of liability

To the maximum extent permitted by law, Punctulo's total liability to you for any claim arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

10. Service availability

We aim to provide a reliable service but do not guarantee 100% uptime. We will endeavour to provide advance notice of planned maintenance. We are not liable for losses arising from service unavailability caused by circumstances beyond our reasonable control.

11. Termination

You may cancel your account at any time from your account settings. We may suspend or terminate your account if you breach these Terms, with or without notice depending on the severity of the breach.

Upon termination, you may request an export of your data within 30 days. After that period, data will be deleted in accordance with our Privacy Policy.

12. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
